Welcome to Mr. Wagoo. The terms “we,” “us,” and “our” refer to Innovad Ltd, trading as Mr. Wagoo. We operate this website and store, including its content, features, products, and services (the “Services”). Our store is powered by Shopify.

These Terms of Service (“Terms”), together with the policies referenced below, describe your rights and responsibilities when using the Services. Please read them carefully.

By using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Services.

Nothing in these Terms limits any consumer rights that cannot be excluded under applicable law.

Section 1: Access and accounts

You must be at least the age of majority where you live to place an order. If you allow a minor to use a device you own or manage to access the Services, you are responsible for supervising that use.

You agree to provide accurate, current, and complete information when placing an order or creating an account. If you create an account, you are responsible for keeping your login details secure and for activity conducted through your account. Please contact us if you believe your account has been accessed without authorization.

Section 2: Products

We make reasonable efforts to describe and display our products accurately. Product colors and appearance may vary slightly depending on your screen and its settings. Product descriptions, availability, and specifications may change.

We may discontinue a product or limit the quantity available for purchase. Any such change will not affect an order we have already accepted, except where we contact you about an error or inability to fulfill it.

Your rights if a product is faulty, damaged, or not as described are not affected by this section.

Section 3: Orders

Placing an order is an offer to purchase the items in your cart. We may accept or decline an order, including where an item is unavailable, a payment cannot be processed, or there is an error in the product or pricing information. If we cannot fulfill an order after taking payment, we will issue a refund for the affected items.

Please review your order and shipping details before submitting it. If you need to request a change or cancellation, contact us as soon as possible at support@mrwagoo.com. We will try to help, but may be unable to change an order once it has entered processing or shipped.

Returns and exchanges are described in our Return and Refund Policy. That policy does not limit your rights under applicable consumer law.

Products purchased from us are intended for personal or household use, unless we agree otherwise.

Section 4: Prices and payment

The price charged for an item is the price displayed at checkout when you place your order, subject to correction of an obvious error before we accept the order. Applicable shipping charges and taxes will be shown at checkout. If customs duties or import charges may apply to an international order and are not collected at checkout, those charges may be payable by the recipient.

Discounts and promotions may have separate terms. If promotion terms conflict with these Terms, the promotion terms will apply to that promotion.

You agree to provide accurate payment and billing information and confirm that you are authorized to use your selected payment method.

Section 5: Shipping and delivery

Processing and delivery times shown on our website, at checkout, or in our communications are estimates. We will let you know if we become aware of a significant delay with your order.

Please ensure your shipping address is accurate. If you notice an error, contact us as soon as possible. Your rights concerning delivery, lost orders, and delayed orders under applicable consumer law are not affected by this section.

Section 6: Intellectual property

The content and design of the Services, including our text, images, graphics, videos, logos, and other materials, belong to Mr. Wagoo or the relevant rights holders and are protected by applicable intellectual property laws.

You may use the Services for personal, noncommercial purposes. You may not copy, distribute, modify, or commercially exploit our content without permission, except as permitted by law. Nothing in these Terms transfers ownership of our intellectual property to you.

“Mr. Wagoo” and our associated branding may not be used without our prior written permission. Shopify’s name and branding belong to Shopify. Other names and marks belong to their respective owners.

Section 7: Third-party tools

Some features of the Services may be provided by third parties. Their separate terms and privacy policies may apply when you use those features. We may add, change, or remove features from time to time.

Nothing in this section limits our responsibility for the products you purchase directly from us or any responsibility that cannot be excluded under applicable law.

Section 8: Third-party links

Our website may link to websites or services operated by third parties. We do not control those websites. Please review their terms and privacy policies before using them or making a purchase from them. A link does not necessarily mean that we endorse the third party.

Section 9: Relationship with Shopify

Mr. Wagoo is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with Mr. Wagoo. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Mr. Wagoo, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from claims, damages, and liabilities arising from or related to your purchases and transactions with Mr. Wagoo, to the extent permitted by applicable law.

Section 10: Privacy

Our collection and use of personal information are described in our Privacy Policy. Shopify may also process certain personal information to provide and improve its services, as explained in Shopify’s Privacy Policy.

Information you submit through the Services may be processed by Shopify and other service providers in countries outside the country where you live. Please see our Privacy Policy for more information.

Section 11: Feedback and reviews

If you submit a review, suggestion, photograph, or other content to us or through the Services (“Feedback”), you confirm that you have the right to submit it and that it does not infringe another person’s rights or violate applicable law.

You grant us a nonexclusive, worldwide, royalty-free license to use, reproduce, display, and share your Feedback in connection with operating and promoting our business, subject to applicable law and our Privacy Policy. You retain ownership of your Feedback.

If you received compensation or an incentive for a review, you must disclose it where required. We may remove Feedback that we reasonably believe is unlawful, misleading, abusive, or otherwise violates these Terms.

Section 12: Errors and inaccuracies

We may correct errors or omissions in product descriptions, prices, promotions, shipping charges, delivery estimates, or availability. If an error affects an order you have placed, we will contact you where appropriate. If we cancel an order for which payment has already been taken, we will refund the affected amount.

Section 13: Prohibited uses

You may use the Services only for lawful purposes. You must not:

  • Use the Services to violate applicable law or another person’s rights.

  • Submit false, misleading, abusive, or malicious content.

  • Interfere with the security or operation of the Services.

  • Upload malware or attempt unauthorized access to accounts or systems.

  • Collect personal information about other users without authorization.

  • Use automated tools in a way that disrupts the Services or bypasses reasonable access controls.

We may restrict or suspend access where we reasonably believe these Terms have been violated. This does not affect your rights concerning an order you have already placed.

Section 14: Automated agents

An “Agent” is software that takes autonomous or partly autonomous action on behalf of a person or organization. We may limit or block an Agent’s access to the Services.

An Agent must not conceal its automated nature, bypass security measures or CAPTCHAs, impersonate a person, or continue accessing the Services after we have asked it to stop. Where technically applicable, it must identify itself accurately in its requests.

Section 15: Termination

You may stop using the Services at any time. We may suspend or terminate access to an account or feature if you materially violate these Terms or if reasonably necessary to protect the Services or other users.

Termination does not affect rights or obligations arising from an order already placed. Provisions that reasonably need to continue after termination, including those concerning intellectual property, Feedback, and disputes, will continue to apply.

Section 16: Warranties

We aim to keep the Services available and information on the website accurate, but we do not guarantee that the website will always be uninterrupted or free from technical errors.

Nothing in these Terms excludes or limits warranties, guarantees, or remedies that apply to the products under consumer protection law, including your rights if an item is faulty, damaged, or not as described.

Section 17: Liability

To the extent permitted by applicable law, we are not responsible for losses that were not reasonably foreseeable when you agreed to these Terms, or for business losses arising from a purchase made for personal or household use.

Nothing in these Terms excludes or limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited. Nothing in these Terms limits your statutory rights concerning the products you purchase.

Section 18: Your responsibility for misuse

You are responsible for losses we reasonably incur as a direct result of your unlawful use of the Services or your material breach of these Terms. This section does not make you responsible for matters caused by us, nor does it limit any consumer rights you have under applicable law.

Section 19: Severability

If any provision of these Terms is found to be unlawful or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

Section 20: Waiver and entire agreement

If we do not enforce a provision of these Terms immediately, that does not mean we give up the right to enforce it later.

These Terms and the policies referenced in them form the agreement concerning your use of the Services, except where separate terms expressly apply to a particular promotion or feature. They do not override rights you have under applicable law.

Section 21: Assignment

You may not transfer your account or rights under these Terms to another person without our written consent. We may transfer our rights and obligations under these Terms in connection with a transfer of our business, provided that this does not reduce your rights under these Terms or applicable law.

Section 22: Governing law

These Terms are governed by the laws of England and Wales. If you are a consumer living elsewhere, you retain any mandatory protections provided by the laws applicable where you live. Nothing in these Terms prevents you from bringing a claim in a court available to you under applicable law.

Headings are included for convenience and do not change the meaning of these Terms.

Section 24: Changes to these Terms

We may update these Terms from time to time. The current version will be posted on this page. If a change materially affects your rights, we will provide notice where required by law. Changes will not retroactively alter the terms of an order we have already accepted unless required by law or agreed with you.
